PEKABEX S.A. prospectus was prepared in connection with public offering for series A and B shares, and in connection with a request to admit to trade and to float shares on the Warsaw exchange regulated market.

Pekabex S.A. prospectus was approved by the Financial Supervision Authority on 9 June 2015.

First public offering of Pekabex regarded 7,366,667 shares, including 3,000,000 new issue shares. The price for the offered shares was based on book-building process among institutional investors for PLN 10.

As a result of the public offering the investors were allocated all of the offered shares. Institutional investors were allocated 6,777,334 shares, whereas individual investors were accolated 589,333 shares. Individual investors placed subscription for a total of 3,696,139 share which means that the average reduction rate of subscription in this tranche was 84%.

Total value of public offering of Pekabex exceeded 73 million PLN, including 30 million PLN worth of new shares.

First quotation
On 3 July the Management Board of the Stock Exchange in Warsaw adopted a resolution on admitting to stock exchange trade series A and B shares of the Company and allotment certificates for series B shares. Then, on 7 July 2015 a resolution was adopted on admitting to trade and on allotment certificates on the basis of which the first day of quotation became 8 July 2015.

Dividend for 2014
On 11 June 2015 the Annual General Meeting of Shareholders decided on using part of the net profit for 2014, amounting to 2 million zloty, for dividends for shareholders. The dividend day was agreed to be 10 August 2015, whereas the payout day was agreed to be 31 August 2015.

As regards dividend policy the Management Board followed the rule that the dividend payout corresponds to the generated profit and the Group’s financial situation and capital needs, taking into account the need to maintain liquidity and capital necessary to further develop the business and ongoing projects.

A medium-term objective of the Group is to keep the net interest-bearing debt at the level of 1x – 2x EBITDA.If this objective is met and there is no need for capital to implement interesting investment projects that would allow the Company and the Group to meet its strategic goals, then the Management Board usually recommends the Annual General Meeting of Shareholders to pay a dividend in the amount which is at least 50% of the consolidated net profit generated by the Group.

The policy governing dividend may change and the Management Board shall adjust its recommendations to take into account various factors concerning the Issuer, the Group, and the market, including the perspective for continuing business activity, generated profit, capital needs, financial standing, development plans, as well as legal regulations regarding this matter. Decisions concerning profit division and dividend payout shall be made by way of adopting a resolution by the General Meeting of Shareholders.
